COOPERATION AGREEMENT

BETWEEN:

FUTEBOL CLUBE DO PORTO – FUTEBOL, SAD, a company registered in Porto, Portugal under the Nr. 504076574, whose head office is at Estádio do Dragão, Via F.C. Porto, Entrada Poente – Piso 3, in Porto, Portugal, hereby represented by its undersigned members of the Board of Directors, hereinafter referred to as “ FC PORTO, SAD“; 

DRAGON FORCE BEIJING LIMITED – a company registered in Beijing, under the business number……., BEIJING, hereby represented by its undersigned owners, hereinafter referred to as “DRAGON FORCE BEIJING LIMITED”

(Hereinafter collectively referred to as “Parties”)

WHEREAS: 

FC PORTO, SAD, is the actual holder and/or owner of all rights inherent to the Dragon Force ® Football Academy Name, Brand / Trademark(s) and Logo.

FC PORTO, SAD, intends to assign the right to use the trademark Dragon Force®, with regard to its Football Academy Dragon Force® ;

FC PORTO, SAD, with its football Academy "Dragon Force ®, holds the necessary technical knowledge for the development of youth in this specific sports discipline;

FC PORTO, SAD pretends to generate a source of young football talents in BEIJING;

DRAGON FORCE BEIJING LIMITED pretends to acquire the right to use the trademark Dragon Force® and implement a football school in  - BEIJING, following the standards and guidelines of FC PORTO, SAD Dragon Force® Football Academy.

DRAGON FORCE BEIJING LIMITED is a suitable economic, financial and technical authority, to be admitted as FC PORTO, SAD Partner, maintaining and respecting high standards and quality underlying this concept.

The Parties hereto consider it to be in their mutual interest to collaborate in order to achieve all the mentioned in the previous recitals. 

NOW THEREFORE, in consideration of the foregoing recitals, which constitute an integral part of this Agreement, and the mutual covenants hereinafter set forth, THE PARTIES HERETO AGREE AS FOLLOWS:

OBJECT

This Agreement establishes the terms of institutional cooperation between DRAGON FORCE BEIJING LIMITED and FC PORTO, SAD through the creation and development of a Dragon Force ® Football Academy in  – BEIJING (hereinafter referred to as “DRAGON FORCE BEIJING - ”).

DURATION

This Agreement shall remain in force for 5 years starting on 01/01/2016 and ending its term at 31/12/2020.

DRAGON FORCE BEIJING LIMITED and FC PORTO, SAD agree to meet until the end of this Agreement, at least one time, to discuss and agree on an eventual renewal of the Agreement, including changing its duration and terms, if necessary.

LOCATION

The DRAGON FORCE BEIJING -  will operate in the premises of the  Dome during the winter – November to April – and in the Portuguese Cultural Centre of  during the summer – May to October.

If there is a need of changing any of the referred venues, both parties, together, shall evaluate and approve the requirements the new facilities should have at least 3 months in advance.

DEVELOPMENT, MONITORING AND EVALUATION

The management and coordination of the present Agreement shall be carried out by two elite members of FC PORTO, SAD, as referred in Clause 5.a

The Parties undertake that the elite members referred in the previous number shall be individuals with the necessary technical capacity to implement and follow the terms of this Agreement.

FC PORTO, SAD will be the one responsible to advise and promote the necessary guidance in the improvement of the football fields of DRAGON FORCE BEIJING - .

Both Parties shall oversee all the medical and nutritional plans for all the athletes that fall under this agreement.

DUTIES AND OBLIGATIONS

FC PORTO, SAD undertakes to send two elite members of its staff to live in BEIJING and to assume the coordination and the management of DRAGON FORCE BEIJING - .

The housing expenses, including internet access, and all transportation inside BEIJING of the FC PORTO, SAD staff, shall be borne by DRAGON FORCE BEIJING LIMITED.

Travel costs between Portugal and BEIJING of FC PORTO, SAD’s staff and their respective salary shall be borne by FC PORTO, SAD.

DRAGON FORCE BEIJING LIMITED ensures their medical care insurance and meals during working hours.

Additionally, DRAGON FORCE BEIJING LIMITED ensures the hiring of:

One  physical therapist;

One  doctor;

One psychologist.

FC PORTO, SAD undertakes to train and educate the staff mentioned in the previous point according to the best football practices.

Further, DRAGON FORCE BEIJING LIMITED undertakes to purchase exclusively from FC PORTO, SAD, or any other company indicated by the Futebol Clube do Porto business group, all the training and match uniforms (shirts, shorts and socks) for athletes, coaches and officials at wholesale price.

FC PORTO, SAD can advise on the purchase of other technical and/or sports equipment that may be required for the DRAGON FORCE BEIJING -  activities.

TALENT HUNT

The Parties hereby agree that talent hunt will be held in various regions of BEIJING in order to recruit football youth talents to DRAGON FORCE BEIJING - .

Also, the Parties undertake to jointly set up local tournaments, national tournaments, international tournaments, exchange programs and football camps abroad, throughout the duration of this Agreement.

FC PORTO, SAD undertakes that the staff provided to DRAGON FORCE BEIJING -  shall advise and guide DRAGON FORCE BEIJING LIMITED, towards the creation of the desired player profile, requested by FC PORTO, SAD, to compete in the Canadian academy leagues.

Moreover, FC PORTO, SAD undertakes that the staff provided by it to DRAGON FORCE BEIJING -  shall produce a monthly report on talented players with interest for the parties.

DRAGON FORCE BEIJING LIMITED grants FC PORTO, SAD the right to recruit any athlete of DRAGON FORCE BEIJING -  to Futebol Clube do Porto at its sole discretion.

Further, FC PORTO, SAD undertakes that DRAGON FORCE BEIJING LIMITED shall have the right to the following net amount (herein defined as  the amount the FC PORTO, SAD receives for the athlete’s transfer on a permanent basis deducted of all amounts regarding the training compensation and/or solidarity contribution due from FC PORTO, SAD to any clubs as well as the amounts regarding intermediation commission and taxes, if applicable) of the transfer of any athlete from DRAGON FORCE BEIJING -  that joins Futebol Clube do Porto and thereafter is transferred to a third club:
